1. Scope and Agreement
These Terms of Service govern the use of Night/Shift SIEM, a cloud-based service provided by Digital Trust AS, organization number 931464191, Hasleveien 28A, 0571 Oslo, Norway (“Digital Trust,” “we,” “us,” or “our”).
These terms apply exclusively to business customers (næringsdrivende). Night/Shift is not offered to consumers (forbrukere) as defined under Norwegian law.
By subscribing to and using Night/Shift SIEM, you represent that you are acting in a business capacity, have the authority to bind the legal entity you represent, and agree to be bound by these terms. You warrant that you have obtained all necessary internal approvals to enter into this agreement.
2. Service Description
Night/Shift is a cloud-based Security Information and Event Management (SIEM) service provided on a subscription basis. It does not guarantee detection of all security incidents, threats, or vulnerabilities, and does not replace professional security judgment or regulatory compliance obligations, but automates and simplifies security monitoring and analysis.
3. Subscription, Payment, and Pricing
Night/Shift SIEM is offered as a monthly subscription service billed in either Euros (EUR) or Norwegian kroner (NOK). The applicable pricing is as specified in your subscription plan at the time of signup or as otherwise agreed in writing. Prices are exclusive of VAT unless explicitly stated otherwise. For customers within Norway, Norwegian VAT applies. For customers in other EU/EEA countries with a valid VAT number, the reverse charge mechanism applies. For non-EU/EEA customers, no VAT is charged.
Subscriptions renew automatically on the same day each month. Payment is due immediately upon renewal. We accept bank transfer payments per invoice and various payment methods through Stripe. Invoices are issued on the renewal date, and payment is due within 14 days. Late payments may incur interest in accordance with the Norwegian Act on Interest on Overdue Payments (forsinkelsesrenteloven).
You may cancel your subscription at any time through your account dashboard or by written notice to hello@nightshift.technology. Cancellation takes effect at the end of your current billing month. No refunds are provided for partial months.
We may adjust subscription fees for Night/Shift SIEM with effect from the next renewal period. Any such changes will be communicated to you in writing at least 30 days in advance of the effective date, including via email or through the service dashboard.
If you do not agree to the updated pricing, you may cancel your subscription before the start of the new billing period. Continued use of Night/Shift SIEM after the renewal date constitutes acceptance of the revised pricing.
4. Use of Service
You agree to use Night/Shift SIEM only for lawful business purposes and in accordance with these terms. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring your use complies with applicable laws and regulations
- The accuracy and legality of any data you upload or process through the service
You may not:
- Use the service in any way that violates applicable laws
- Attempt to gain unauthorized access to the service or related systems
- Interfere with or disrupt the service or servers
- Use the service to transmit malicious code or harmful content
- Resell or redistribute the service without our written consent
We may suspend access to the service, in whole or in part, immediately if:
- required by law or authority
- necessary to prevent security risk or abuse
- payment is overdue
Suspension does not relieve payment obligations.
5. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party and to use it only for purposes of this agreement. This obligation survives termination of the agreement, except for information that becomes publicly available without breach of these terms.
6. Security
Each party is responsible for security within its respective control. You are responsible for securing log sources, credentials, integrations, and access controls. We are responsible for securing the Night/Shift SIEM infrastructure.
7. Data Protection and Privacy
All personal data processing is governed by our separate Privacy Statement, which is incorporated into these terms by reference. The Privacy Statement is available at https://nightshift.technology/privacy.html. By using Night/Shift SIEM, you also agree to our Privacy Statement.
You are responsible for ensuring you have the necessary legal basis to process any personal data through Night/Shift SIEM, and for complying with applicable data protection laws, including GDPR.
To the extent Digital Trust AS processes personal data on your behalf, Digital Trust AS acts as a data processor and you act as data controller under GDPR. When the parties enter into a separate Data Processing Agreement (DPA), it forms an integral part of these terms.
We may use aggregated and anonymized data derived from service usage for service improvement, analytics, and security research, provided it does not identify you or your users.
We may use third-party infrastructure and subprocessors (such as cloud providers) to deliver the service. A list of subprocessors will be made available upon request.
8. Intellectual Property
Digital Trust retains all rights, title, and interest in Night/Shift SIEM, including all related intellectual property rights. These terms grant you a limited, non-exclusive, non-transferable license to access and use the service during your subscription period.
You retain all rights to data and content you upload to Night/Shift SIEM. By using the service, you grant us a license to process, store, and transmit your data solely as necessary to provide the service.
9. Service Availability and Modifications
We strive to maintain service availability, but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance or make updates that temporarily affect service availability. Where reasonably possible, we will provide advance notice of planned downtime.
We reserve the right to modify, suspend, or discontinue any aspect of Night/Shift SIEM at any time, provided we give reasonable notice for changes that materially affect functionality.
Unless expressly agreed in writing in a separate Service Level Agreement (SLA), no uptime or response time guarantees apply.
Standard support is provided via email. Response times and support levels may vary by subscription tier.
We may offer beta or experimental features marked as such. These are provided ‘as is’ without warranty and may be modified or discontinued without notice.
10. Limitation of Liability
Night/Shift SIEM is provided “as is” without warranties of any kind, express or implied.
Digital Trust AS is liable for damages caused by intent (forsett) or gross negligence (grov uaktsomhet) without limitation.
For damages caused by ordinary negligence, Digital Trust AS’s liability is limited to direct damages up to an amount equal to twelve months’ subscription fees paid by you. We are not liable for indirect damages including loss of profit, loss of data, business interruption, or consequential damages, except where such limitation is prohibited by mandatory Norwegian law.
Nothing in these terms excludes or limits liability for personal injury or death caused by our negligence.
The liability cap applies per 12-month period. Digital Trust AS is not liable for data loss resulting from customer configuration, log sources, retention settings, or third-party integrations.
Use of Night/Shift SIEM does not by itself ensure compliance with ISO 27001, NIS2, SOC 2, or other regulatory or industry standards.
11. Indemnification
You agree to indemnify and hold Digital Trust AS harmless from any claims, damages, or expenses arising from your use of Night/Shift SIEM, your violation of these terms, or your violation of any applicable laws or third-party rights.
12. Term and Termination
These terms remain in effect while you maintain an active subscription. Either party may terminate the agreement:
- You may terminate by cancelling your subscription as described in Section 3
- We may terminate immediately if you materially breach these terms
- We may terminate with 30 days’ written notice for any reason
If you sign up for a free trial, these terms apply during the trial period. We may convert your trial to a paid subscription at the end of the trial period unless you cancel.
Upon termination, your access to Night/Shift SIEM will cease. You are responsible for exporting any data you wish to retain before termination. We will retain data in accordance with our Privacy Statement and applicable legal requirements for 30 days after the termination date, in case you change your mind. After the retention period, data will be securely deleted unless required by law to retain it.
Sections relating to intellectual property, limitation of liability, indemnification, governing law, and confidentiality shall survive termination.
13. Changes to Terms
We may modify these terms at any time by providing notice through the service, our website or by email. Modifications take effect 30 days after notice. Continued use of Night/Shift SIEM after the effective date constitutes acceptance of the modified terms.
If you do not agree to the modifications, you may terminate your subscription before the effective date.
14. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or failures of internet infrastructure.
15. Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
16. Entire Agreement
These terms, together with the Privacy Statement, constitute the entire agreement between you and Digital Trust AS regarding Night/Shift SIEM and supersede all prior agreements or understandings.
17. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
18. Governing Law and Disputes
These terms are governed by Norwegian law without regard to conflict of law principles.
Any disputes arising from these terms or your use of Night/Shift SIEM shall be resolved in the ordinary courts of Norway, with Oslo tingrett as the legal venue.
